Terms of Use

These Terms of Use ("Terms") are a binding agreement between you and MAHD LLC ("Vybeshot", "we", "us", or "our") and govern your access to and use of the Vybeshot mobile application, the website at vybeshot.com, and related services (together, the "Service"). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy and Subscription Policy, which are incorporated by reference. If you do not agree, do not use the Service.

1. Who may use Vybeshot

Vybeshot is an 18+ service. You may use the Service only if you are at least 18 years old and able to form a binding contract. You must provide accurate registration information, including a true date of birth, and keep it current. We may refuse, suspend, or terminate accounts that do not meet these requirements.

2. Your account

You can register with an email address and password or sign in with Google. You are responsible for safeguarding your credentials and for all activity under your account. Do not share your account or create accounts by automated means. Notify us at hello@vybeshot.com if you suspect unauthorized use. You must verify your email before using certain features.

3. The Service, Vybes, and generations

Vybeshot lets you generate images and videos with artificial intelligence, build reusable characters, and publish and share creations. Generations are powered by "Vybes", an in-app virtual currency. Vybes have no cash value, are not transferable, and are licensed to you for use within the Service only; their purchase, grant, and use are governed by the Subscription Policy.

Generation cost varies. The number of Vybes a generation costs depends on the AI model used and on the features you select, including (for video) duration and resolution, and (for images and video) quality, model tier, and similar options. The Vybe cost for a given action is shown before you confirm it. Because costs are variable and disclosed at the point of use, charges for completed generations are final.

AI output is probabilistic. We do not guarantee that any generation will succeed, be unique, be accurate, meet your expectations, or be suitable for any particular purpose. A third-party AI provider may reject or filter a request or its output under that provider's own safety rules, and a generation may fail for technical reasons.

4. Subscriptions and billing

Paid plans and the Vybes they include are sold as auto-renewing subscriptions through Apple In-App Purchase and are governed by the Subscription Policy. Please read it carefully — it explains trials, renewals, price changes, cancellation, and refunds.

5. Your content and the license you grant us

"Your Content" means the prompts, images, videos, characters, captions, comments, and other materials you upload, generate, or post. As between you and us, you retain your rights in Your Content. To operate the Service, you grant MAHD LLC a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, transmit, adapt (for example, to create thumbnails, watermarked previews, and format conversions), and — for content you choose to make public — publicly display and distribute Your Content. This license exists only to run and improve the Service and ends when you delete the content or your account, except for content others have shared or that we must retain for legal or backup purposes.

You represent that you own or have all rights necessary to upload and use Your Content and to grant this license, and that Your Content and your use of it do not violate any law or any third party's rights.

6. AI-generated content and ownership

Subject to your compliance with these Terms and any third-party AI provider terms, we assign to you whatever rights we may hold in the images and videos you generate, to the fullest extent permitted by law. You are solely responsible for how you use generated content. Note that the legal status and copyrightability of AI-generated material is unsettled and varies by jurisdiction, that similar outputs may be generated for other users, and that we make no warranty that generated content is free of third-party rights. Outputs are produced through third-party AI providers whose terms may also apply to your use.

7. Characters, likeness, and other people

The Characters and Face Swap features — and any other feature that accepts photos of people — let you upload reference photos to create reusable characters, swap faces, or otherwise generate and edit images of people. If you upload images of a real person, you must have that person's explicit consent and all rights necessary to upload, process, and generate content based on their likeness. You may not upload images of minors, create content depicting real people in a false, defamatory, sexual, or harmful manner, impersonate others, or create non-consensual or deceptive "deepfake" content. We may remove characters and content and suspend accounts that violate this section.

8. Acceptable use

You agree not to use the Service to create, upload, or share content or to act in any way that:

• is unlawful, or sexualizes or endangers minors in any way (we report child sexual abuse material to authorities);
• is non-consensual intimate imagery, or depicts a real, identifiable person without their consent;
• harasses, threatens, defames, or incites violence or hatred against others;
• infringes intellectual property, privacy, or publicity rights;
• is fraudulent, deceptive, or impersonates a person or entity, including misleading synthetic media of real people or events;
• contains malware, or attempts to disrupt, reverse engineer, scrape, overload, or gain unauthorized access to the Service;
• circumvents Vybe charges, usage limits, watermarks, or content safeguards; or
• violates any applicable law or these Terms.

9. Moderation and enforcement

We may, but are not obligated to, review content and conduct. We may hide, remove, or restrict content, and warn, flag, suspend, or ban accounts, at our discretion, including in response to user reports. You can report content through the Service or to hello@vybeshot.com. We may cooperate with law enforcement and disclose information where we believe it is required or appropriate.

10. Our intellectual property

The Service, including its software, design, branding, and the Vybeshot name and logos, is owned by MAHD LLC and protected by law. We grant you a limited, revocable, non-transferable license to use the Service for its intended purpose. You may not use our marks without permission. Free-tier downloads may carry a watermark; removing or obscuring watermarks except through a paid plan is prohibited. If you send us feedback, you grant us a perpetual, royalty-free license to use it.

11. Third-party services

The Service relies on third parties, including Apple (payments and app distribution), Google (sign-in and push delivery), cloud infrastructure providers, and third-party AI providers that process your prompts and uploaded media. Your use of those services is also subject to their terms, and we are not responsible for them.

12. Disclaimers

The Service and all content and AI output are provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted or error-free operation. Vybeshot is not a provider of legal, medical, financial, or other professional advice, and AI output must not be relied upon as such. You use the Service and any generated content at your own risk.

13. Limitation of liability

To the fullest extent permitted by law, MAHD LLC and its officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, data, or goodwill, arising from or related to the Service or these Terms. Our total liability for all claims will not exceed the greater of the amount you paid us in the three months before the event giving rise to the claim, or USD $50. Some jurisdictions do not allow certain limitations, so some of these may not apply to you.

14. Indemnification

You agree to indemnify and hold harmless MAHD LLC from any claims, damages, losses, and expenses (including reasonable legal fees) arising out of Your Content, your use of the Service, your violation of these Terms, or your violation of any law or third-party right.

15. Termination

You may stop using the Service at any time. We may suspend or terminate your access at any time for any violation of these Terms or to protect the Service or other users. On termination, your right to use the Service ends; sections that by their nature should survive (including content licenses you granted for already-shared content, disclaimers, liability limits, and indemnification) will survive. Subscription cancellation and effects are described in the Subscription Policy.

16. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will update the date above and may provide additional notice. Your continued use of the Service after changes take effect constitutes acceptance.

17. Governing law and disputes

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules. You agree that any dispute will be resolved in the courts located in Florida, unless applicable law requires otherwise.
